Terms of Service

Important: Choco is a self-custody software tool. It does not hold your funds or control your wallet. You are solely responsible for keeping your recovery phrase and private keys safe. Use small amounts until you are comfortable with the flow.

1. Acceptance

By accessing or using Choco at usechoco.app or inside MiniPay, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms form a binding agreement between you and Choco SAS (Colombia).

2. What Choco is

Choco is a non-custodial stablecoin remittance tool built on the Celo blockchain. It helps you:

Choco prepares and proposes blockchain transactions. Your wallet (MiniPay, Privy, or any Celo-compatible wallet) must sign and approve every action. Choco cannot move funds without your explicit wallet signature.

3. Non-custodial; no money transmission

Choco does not:

ChocoGateway, our on-chain contract, temporarily holds a single locked run's USDC during a scheduled transfer window. This lock is user-initiated, wallet-approved, and can be reclaimed by the user at any time via the "Reclaim funds" action.

6. Exchange rates and fees

The USDC-to-KESm exchange rate is determined at execution time by Mento Protocol's on-chain exchange — an autonomous smart contract. Choco does not set or guarantee exchange rates. A small protocol fee is deducted by ChocoGateway at settlement time. Rates and fees are disclosed in the app before you sign any transaction.

7. Experimental software

Choco's contracts are deployed and live on Celo Mainnet, but the software is early-stage. Smart contracts may contain bugs. The keeper automation may experience downtime. Exchange routes may fail due to on-chain conditions. Use amounts you are comfortable risking while the software matures.

8. No financial advice

Nothing in Choco or these Terms constitutes financial, investment, legal, or tax advice. Choco is a software tool only. Consult a qualified professional for financial guidance.

9. Open-source contracts

ChocoLedger and ChocoGateway are open-source under the Apache 2.0 license. Contract code is verifiable on Celoscan. The app source code is available on GitHub. We encourage independent review.

In any case, Choco SAS's aggregate liability to you shall not exceed the amount of protocol fees you paid in the 30 days preceding the claim.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of Colombia. Any dispute that cannot be resolved informally shall be submitted to the courts of Bogotá, Colombia, which shall have exclusive jurisdiction.

13. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be reflected in an updated effective date. Continued use after an update constitutes acceptance of the revised Terms.
